Terms of Service

Please read these Terms of Service carefully before using SmartWMS. By creating an account or using our services, you agree to be bound by these terms. If you do not agree, please do not use the service.

1. Service Description

SmartWMS is a cloud-based warehouse management system (WMS) that provides: • Inventory management and stock tracking • Order processing (sales orders, purchase orders) • Warehouse operations (receiving, putaway, picking, packing, shipping) • IoT device management and sensor monitoring • Quality control inspections and holds management • Labor management and workforce scheduling • Route optimization for deliveries • Lot traceability and recall management • Analytics, reporting, and business intelligence • Real-time notifications via SignalR

2. Account Registration

To use SmartWMS, you must: • Create an account with accurate and complete information • Be at least 18 years old or have legal authority to bind your organization • Keep your login credentials secure and confidential • Notify us immediately of any unauthorized account access • Accept responsibility for all activities under your account We reserve the right to suspend or terminate accounts that violate these terms.

3. Plans & Pricing

SmartWMS offers the following subscription plans: • Trial: Free for 30 days — 5 users, 2 warehouses, 1,000 products • Starter: €49/month — 3 users, 1 warehouse, 1,000 products • Business: €149/month — 10 users, 3 warehouses, 5,000 products • Enterprise: €299/month — Unlimited users, warehouses, and products Prices are exclusive of applicable taxes. Annual billing provides a 20% discount. We reserve the right to modify pricing with 30 days' notice.

4. User Obligations

As a user, you agree to: • Use the service only for lawful warehouse management purposes • Not attempt to reverse-engineer, hack, or disrupt the service • Not upload malicious content, malware, or harmful code • Comply with all applicable laws and regulations • Not share account credentials with unauthorized persons • Not exceed your plan's usage limits • Maintain accurate and up-to-date business information

5. Intellectual Property

All intellectual property rights in SmartWMS — including software, design, logos, documentation, and algorithms — belong to SmartWMS. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service during your active subscription period. You may not copy, modify, distribute, or create derivative works based on SmartWMS without our explicit written consent.

6. Data Ownership

You retain full ownership of all data you enter into SmartWMS, including inventory records, orders, customer information, and operational data. We process your data solely to provide the service. You can export your data at any time through the built-in export functionality. Upon account termination, we will provide a reasonable period to export your data before deletion.

7. Service Level Agreement

We strive for high availability and commit to: • 99.5% uptime target for the SmartWMS platform • Scheduled maintenance during off-peak hours with advance notice • Automated daily backups with 30-day retention • Priority support for Business and Enterprise plan customers For detailed SLA terms, see our SLA page at smartwms.one/sla.

8. Limitation of Liability

To the maximum extent permitted by applicable EU law: • SmartWMS is provided "as is" without warranty of fitness for a particular purpose • We are not liable for indirect, incidental, or consequential damages • Our total liability is limited to the fees you paid in the 12 months preceding the claim • We are not responsible for losses due to force majeure events Nothing in these terms limits liability for fraud, personal injury, or death caused by negligence, in accordance with EU consumer protection regulations.

9. Termination

Either party may terminate the subscription: • You may cancel your subscription at any time from your account settings • Cancellation takes effect at the end of the current billing period • We may terminate your account for material breach of these terms (with 14 days' notice to cure) • Upon termination, you have 30 days to export your data • Refunds for prepaid annual plans are provided pro-rata for unused months

10. Dispute Resolution

In the event of a dispute: • We encourage you to first contact us at legal@smartwms.one to resolve the matter amicably • If resolution cannot be reached, disputes shall be submitted to mediation • EU consumers may also use the EU Online Dispute Resolution platform (ec.europa.eu/odr) • For unresolved matters, the courts of the European Union shall have jurisdiction

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the European Union, including applicable national laws of the member state where the data controller is established. Mandatory consumer protection laws of your country of residence shall apply where applicable.

12. Changes to Terms

We may modify these Terms of Service from time to time. Material changes will be communicated at least 30 days in advance via email or in-service notification. Your continued use after the effective date of changes constitutes acceptance. If you do not agree with the updated terms, you may terminate your subscription.
